2.1 Acceptance of Terms
By accessing or using Capital Yono, the user agrees to the Privacy Policy, Terms of Service, Disclaimer, Security & Data Handling Policy, Refund & Cancellation Policy, payment terms, service-specific terms, dashboard rules and document upload rules.
If the user does not agree, they should not use the website, dashboard, upload system, advisory portal or paid services.
2.2 Nature of Services
Capital Yono is an AI-assisted, expert-reviewed, advisory-only business decision platform.
Capital Yono may provide advisory support under YONO VentureReady, YONO FinanceReady, YONO ScaleReady, time-based consultations, subscription packages, paid reports, business readiness dashboards, AI-assisted document intelligence, expert-reviewed advisory summaries, business diagnosis, funding readiness, credit readiness, compliance & risk review, rating readiness, valuation awareness, investor readiness, export readiness and IPO direction readiness.
2.3 Advisory-Only Scope
Capital Yono provides decision support, readiness assessment, document intelligence and advisory guidance.
Capital Yono does not itself
- Sanction loans or disburse funds
- Arrange guaranteed finance
- Act as a bank, NBFC, rating agency, registered valuer, stock exchange, merchant banker or government authority
- Issue credit ratings
- Guarantee investor funding, valuation, export success, IPO listing or regulatory approvals
- Guarantee business success
2.4 No Guarantee of External Outcome
Capital Yono may help users improve readiness, documentation, structure, analysis and decision quality. However, external outcomes depend on client eligibility, documents, financial position, credit score, banking conduct, promoter profile, collateral, market conditions, lender / investor / rating agency discretion, valuer assumptions, government policy, regulatory rules, third-party due diligence, implementation quality, business performance and future events.
Capital Yono does not guarantee any final outcome.
2.5 User Eligibility
Users must be legally competent to use the platform.
If a user creates an account on behalf of a business, firm, company, LLP, trust, society, institution or third party, the user confirms that they are authorized to do so.
2.6 Account Registration
Users may need to provide name, email, mobile number, OTP verification, password, business details, service selection, documents and payment details.
Users are responsible for maintaining confidentiality of login credentials.
2.7 Document Upload Rules
By uploading documents, the user confirms: they have authority to upload the documents; documents are genuine to the best of their knowledge; documents are not forged, fabricated or manipulated; documents do not violate any law, NDA, confidentiality obligation or third-party right; Capital Yono may process the documents through AI, OCR, expert review, admin review and internal workflow.
2.8 Use of Reports
Capital Yono reports are for the user’s internal advisory, business decision and readiness purposes.
Reports must not be
- Misrepresented as loan sanction, credit rating, valuation certificate, legal opinion, audit report or government approval
- Used for fraud
- Shared out of context or altered without permission
- Used to mislead lenders, investors, regulators or third parties
2.9 Payment Terms
Capital Yono may charge fees for consultation calls, expert review, document review, advisory reports, packages, subscriptions, dashboard access, AI-assisted services, follow-up services, add-on reports and premium services. All fees are subject to applicable GST, taxes and payment gateway charges.
2.10 Refund and Cancellation
A separate Refund & Cancellation Policy applies (see Legal section).
Recommended principles
- No refund once AI processing, document review, expert review or report preparation has started.
- Consultations may be rescheduled if requested within the allowed period.
- No-show or late attendance may not qualify for a refund.
- Duplicate payment may be adjusted or refunded after verification.
- Subscription cancellation will follow subscription-specific terms.
- Capital Yono may offer refund, credit or rescheduling at its discretion depending on facts.
2.11 Consultation and Meeting Rules
Users must attend meetings on time, provide correct documents, provide clear questions, ensure internet / audio / video availability, avoid abusive behaviour, avoid recording without permission and avoid sharing confidential meeting links with unauthorized persons.
Capital Yono may record, transcribe or summarize meetings for advisory, quality, audit, training, report preparation and dispute protection purposes, subject to applicable law and platform notice.
2.12 AI-Assisted Reports
AI may assist in preparing draft advisory notes, meeting summaries, document summaries, readiness scores, risk flags, missing-document lists, preliminary reports and action points. Final reports may be released only after the applicable validation workflow.
2.13 User Responsibility for Final Decisions
The user remains fully responsible for starting or expanding a business, taking a loan, accepting funding or investor terms, applying for a subsidy, choosing a legal structure, filing documents, submitting bank / investor / regulatory applications, implementing advice, hiring third-party professionals and making final commercial decisions.
Capital Yono strengthens decision-making but does not replace the user’s responsibility.
2.14 Intellectual Property
All Capital Yono content, reports, templates, tools, page designs, dashboards, workflows, AI prompts, formats, service names, graphics, text, logic, process flows and advisory frameworks are the intellectual property of Yono Industries Private Limited or its licensors.
Users may not copy, reproduce, resell, modify, reverse engineer, commercially exploit or distribute Capital Yono content without written permission.
2.15 User-Submitted Content
Users retain ownership of their uploaded documents and business information.
By uploading content, users grant Capital Yono limited permission to process, analyze, store, structure, extract, summarize, review, use and generate advisory outputs from such content for service delivery.
2.16 Prohibited Use
Users must not upload false or forged documents or malware, misrepresent identity or authority, violate confidentiality obligations or third-party rights, attempt unauthorized access, copy platform logic, abuse experts or the support team, use reports for fraud, mislead banks / investors / authorities, use Capital Yono branding without permission, or create unlawful liability for Capital Yono.
2.17 Limitation of Liability
To the maximum extent permitted by law, Yono Industries Private Limited, CAPITAL YONO, Capital Yono platform, directors, officers, employees, advisors, experts, consultants, affiliates, technology providers and service providers shall not be liable for:
- Loan / funding / investor / subsidy / regulatory rejection
- Rating outcome
- Valuation difference
- Business loss, loss of profit, loss of opportunity, loss of goodwill
- IPO non-eligibility, export failure
- Tax or legal consequence
- Third-party decisions
- Incorrect user data, incomplete documents or unauthorized uploads
- AI error in draft output
- Market change, policy change
- Platform downtime, payment gateway failure
- Cyber incident beyond reasonable control
- Indirect, incidental, special, punitive or consequential damages
- Contingent liability arising from user decision or third-party reliance
2.18 Indemnity
The user agrees to indemnify and hold harmless Yono Industries Private Limited, CAPITAL YONO, Capital Yono platform, directors, officers, employees, experts, consultants, affiliates and service providers from any claims, losses, damages, costs, penalties, legal expenses or liabilities arising from false / misleading / incomplete information, unauthorized document upload, breach of confidentiality, upload of insider information without authority, misuse of reports, misrepresentation to third parties, violation of law, breach of these Terms, fraudulent use, user’s business decisions or third-party claims arising from user-submitted data.
2.19 Suspension or Termination
Capital Yono may suspend or terminate access if a user violates terms, payment is unpaid, fraud is suspected, false documents are uploaded, security risk is detected, platform misuse occurs, user behaves abusively, required verification is not completed, or legal / compliance concerns arise.
2.20 Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Subject to dispute resolution provisions, courts at Pune, Maharashtra shall have jurisdiction, unless otherwise required by applicable law.
2.21 Dispute Resolution
Users should first raise grievances by contacting connect@capitalyono.com or +91-9765016691. Capital Yono will attempt good-faith resolution.
Disputes may first be referred to mutual discussion or mediation. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with seat and venue at Pune, Maharashtra, language English, and sole arbitrator appointed mutually.
